Adani Group has announced the sale of a 20% stake in AWL Agri Business Ltd to Singapore’s Wilmar International for ₹275 per share, amounting to a total of ₹7,150 crore. This transaction was disclosed in a stock exchange filing on Thursday. The deal involves Adani Commodities LLP (ACL), a subsidiary of Adani Enterprises Ltd, and Lence, a subsidiary of Wilmar International based in Singapore. According to the agreement, Lence will purchase up to 259,935,721 equity shares, which represent 20% of the issued and paid-up equity share capital of AWL Agri Business Limited, previously known as Adani Wilmar Limited.

The completion of this transaction is contingent upon customary conditions, including Lence obtaining all necessary antitrust approvals for the acquisition. Following this sale, Wilmar International will emerge as the majority shareholder in AWL Agri, holding a 64% stake, thereby surpassing Adani’s ownership.

In December 2024, the Adani Group had announced plans to divest its entire 44% stake in Adani Wilmar to refocus on its core infrastructure businesses. An agreement was signed between Adani Commodities and Lence Pte Ltd, granting each party the right to buy or sell ACL shares in AWL at a future date, with a price cap set at ₹305 per share. Together, they held approximately 88% of the company, with each owning 44%.

In January 2025, ACL sold 13.5% of its stake in AWL at ₹276.51 per share, which increased the public ownership of the company’s shares, aligning with minimum public shareholding regulations. After this sale, ACL retained nearly 30.42% of AWL.
