The U.S. Department of Justice has filed a lawsuit in court to challenge Hewlett Packard’s attempt to acquire Juniper.

The U.S. Department of Justice (DOJ) filed a lawsuit on Thursday to prevent Hewlett Packard Enterprise’s (HPE) $14 billion acquisition of Juniper Networks. The DOJ contends that this merger would stifle competition, resulting in only two companies—Cisco Systems and HPE—dominating over 70% of the U.S. networking equipment market. The complaint highlights that Juniper has developed innovative tools that have significantly reduced the costs of operating wireless networks for many customers, thereby pressuring HPE to lower its prices and enhance its own innovations.

This antitrust lawsuit is the first to be initiated since President Donald Trump took office last week. Recently, HPE representatives met with Trump’s antitrust officials regarding the proposed acquisition, discussing the DOJ’s concerns with Omeed Assefi, who is temporarily overseeing antitrust enforcement. Prior discussions had also taken place with senior Biden administration antitrust officials, who expressed apprehensions about the deal.

HPE’s CEO, Antonio Neri, expressed confidence in the acquisition’s approval during the World Economic Forum in Davos, Switzerland, stating, “Nothing gives me pause why this deal would not get through.” The deal has already received clearance from both the UK and the EU, but the DOJ has been conducting a thorough investigation into the merger since last year.

The DOJ’s concerns center around the potential reduction of competition with Cisco Systems, the leading company in the sector. Although there are several smaller competitors in the market, DOJ officials view HPE and Juniper as key innovators, believing that Cisco would face significant competitive disadvantages if the two companies were to merge.

Over a year ago, HPE announced its intention to acquire Juniper Networks for $14 billion in an all-cash transaction, aiming to enhance its artificial intelligence capabilities. Following the DOJ’s announcement, shares of Juniper Networks fell approximately 3%, while HPE’s stock decreased by about 2%.
